1.3 Account Responsibility
If you create an account or online store through our platform, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access to your account.
- Products, Orders, and Services
2.1 Product Descriptions
We strive to provide accurate descriptions of our products and services. However, we do not warrant that product descriptions, pricing, or other content on the Site is accurate, complete, or current. Colors and specifications may vary slightly from what is depicted on screen due to monitor settings and production processes.
2.2 Order Acceptance
Submission of an order, quote request, or inquiry does not constitute a binding contract. A binding agreement is formed only when we accept your order and issue an order confirmation. We reserve the right to refuse or cancel any order at our discretion, including in cases of pricing errors, product unavailability, or suspected fraudulent activity. It is your responsibility to ensure the product delivery address is correct. Custom Logos takes no responsibility for any product a customer does not receive because of errors in the delivery address given to us.
2.3 Custom and Decorated Products
Due to the custom nature of our products — including screen-printed apparel, embroidered items, and personalized promotional products — all sales are final once production has begun. Custom orders are not eligible for return or refund unless the product contains a defect attributable to our production error. You are responsible for reviewing and approving all proofs before production begins. We are not responsible for errors that you have approved.
2.4 Optional Tools and Use of Artificial Intelligence
We may provide access to third-party tools through our website. These tools are offered “as is” and “as available” without warranties, representations, or endorsement of any kind. We have no control over third-party tools and accept no liability for your use of them. Any such use is entirely at your own risk, and you should review the terms of the applicable third-party provider before use.
We may also introduce new features or services through our Site, all of which are subject to these Terms.
Some of the third-party vendors we work with may use artificial intelligence and machine learning technologies as part of the services they provide. We do not control how our vendors deploy AI, and their use of these technologies is governed by their own terms and privacy policies. We make no representations regarding the accuracy, reliability, or appropriateness of any AI-generated output produced by third-party vendors or tools.
2.5 Errors, Inaccuracies and Omissions
Occasionally there may be information on our Site that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times, and availability. We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information or cancel orders if any information on our Site or on any related website is inaccurate at any time without prior notice (including after you have submitted your order).
We undertake no obligation to update, amend or clarify information on our Site or on any related website, including without limitation, pricing information, except as required by law. No specified update or refresh date applied in our Site or on any related website, should be taken to indicate that all information on our Site or on any related website has been modified or updated.
- Pricing and Payment
All prices are quoted in U.S. dollars. Prices are subject to change without notice until an order is confirmed. Payment is due in accordance with the terms stated on your invoice. We accept major credit cards and approved payment methods as communicated at the time of order.
Late payments may be subject to a finance charge of 1.5% per month (18% per year) or the maximum rate permitted by applicable law, whichever is less. You agree to reimburse us for all costs of collection, including reasonable attorneys’ fees, in the event of non-payment.
- Intellectual Property
The content, organization, graphics, design, compilation, product design and labeling, and other matters related to our Site are protected under applicable U.S. and international copyright, trademark and intellectual property laws. CUSTOM LOGOS and all our logos and other marks are either trademarks or registered trademarks of Custom Logos (“Trademarks”). Unless disclosed otherwise in writing, we exclusively own all worldwide right, title and interest in and to all the Trademarks, documentation, software, contents, graphics, designs, data, computer codes, ideas, know-how, “look and feel,” compilations, magnetic translations, digital conversions and other materials included within our Site and related to our products and services, and all modifications and derivative works thereof, and all intellectual property rights related thereto (“Intellectual Property”). The posting of information or materials on this Site by us does not constitute a waiver of any rights in any Intellectual Property or such information and materials. You will not challenge, contest or otherwise impair Custom Logos’ ownership of the Site and the content therein or the validity or enforceability of Custom Logos’ rights in the Intellectual Property. We reserve the right in our sole discretion to edit or delete any information or other content appearing on our Site at any time without notice. Nothing contained in these Terms will be construed by implication, estoppel or otherwise as granting you an ownership interest in the Intellectual Property or any copyright, trademark, patent or other intellectual property right of Custom Logos or any third party. None of the material on our Site may be downloaded, distributed, reproduced, republished, posted, transmitted or copied in any form or by any means, without the prior written permission of Custom Logos, which permission may be withheld in our sole and absolute discretion.
By submitting logos, artwork, or design files to us for production, you represent and warrant that you own or have all necessary rights to use such materials, and that their use in connection with our services does not infringe any third-party intellectual property rights. You grant us a limited license to use submitted materials solely for the purpose of producing and fulfilling your order, and, unless you notify us otherwise in writing before production begins, to display images of the completed product, including any submitted artwork as incorporated into the finished product, in our portfolio, on the Site and in our marketing materials.
If any logo, artwork, image, or design you submit includes the name, image, likeness, voice, or other identifying characteristic of any individual, you further represent and warrant that you have obtained all consents and rights necessary — including, where applicable, any right of publicity or privacy release — to use that individual’s name, image, or likeness for the purpose requested, and that such use will not violate any applicable right of publicity, right of privacy, or other personal right.
We reserve the right, but assume no obligation, to refuse to produce or to cease production of any order containing content that we believe, in our sole discretion, may infringe any third party’s intellectual property, publicity, or privacy rights, may be unlawful, obscene, or defamatory, or may otherwise violate these Terms. Our acceptance of an order, or our production of any custom item, does not constitute a review, endorsement, or verification of the representations and warranties you make under this Section.
Custom Logos retains ownership of any original design work created by our graphic design team. Upon full payment, you are granted a non-exclusive license to use such designs for the specific use requested. As set forth above, we may display completed work in our portfolio and marketing materials unless you request otherwise in writing before production begins.
- Posts, Reviews, Comments, and Other Feedback
If you send us comments, creative ideas, suggestions, proposals, plans, reviews, testimonials, feedback, or other materials — whether through the Site, by linking to or interacting with our social media presence, by email, by postal mail, by responding to our surveys, or otherwise, and whether or not we requested them (collectively, “Posts”) — you agree that we may, at any time and without restriction, edit, copy, publish, distribute, translate, and otherwise use any Posts you send us in any medium. We are under no obligation to (a) keep any Posts confidential, (b) pay compensation for any Posts, or (c) respond to any Posts.
By providing, posting, or displaying a Post, you: (i) represent and warrant that (1) you own or otherwise have all rights necessary to grant the license below, (2) the Post complies with all applicable laws, and (3) you are at least eighteen (18) years old; and (ii) grant us a royalty-free, worldwide, perpetual, irrevocable, non-exclusive, fully paid, transferable, assignable, and sublicensable right and license to copy, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, broadcast, and otherwise use the Post, in whole or in part, on the Site or elsewhere, and to incorporate it into other works in any medium or technology now known or later developed. We are not responsible for maintaining any Post you provide to us; you should retain your own copies of anything you send us.
You further represent and warrant that your Post does not violate any third party’s intellectual property, publicity, privacy, or contract rights. You shall not submit any Post that is libelous, defamatory, obscene, pornographic, threatening, invasive of privacy or publicity rights, abusive, illegal or otherwise objectionable, or that would constitute or encourage a criminal offense, violate the rights of any party, or otherwise give rise to liability, or violate any law or obligation of confidentiality. We assume no and disclaim all responsibility or liability arising from the posts or for any error, defamation, libel, slander, omission, falsehood, obscenity, pornography, profanity, danger or inaccuracy of any posts.
We reserve the right, in our sole discretion, to post, reject to post, refuse to post or remove
any post by you (in whole or in part), or to restrict, suspend or terminate your access to all or any part of the Site at any time, for any or no reason, with or without prior notice, and without liability.
- Privacy and Use of Cookies and Other Tracking Technologies
Your use of the Site is also governed by our Privacy Policy and Cookie Consent Policy, each of which is incorporated into these Terms by reference. Please review our Privacy Policy and Cookie Consent Policy to understand our practices regarding the collection and use of your personal information and our use of cookies and similar tracking technologies.
- Written Communications
If you provide your email address to us, including at checkout, through an account, or through a sign-up form, you may receive marketing and promotional communications from us by email, in addition to transactional messages related to your order. Providing your email address for a purchase or other transaction does not, by itself, enroll you in marketing communications; where required by law, we will obtain your prior consent before sending marketing emails, and that consent is never a condition of purchase.
If you provide us with your phone number, you agree that we may contact you via call or text messages with respect to your order, such as order confirmations, proof approvals, production and shipping updates, and customer service inquiries. We do not use your phone number to send marketing or promotional text messages. Message and data rates may apply, and message frequency varies. You consent to receive these order-related text messages, including messages sent using an automatic telephone dialing system or prerecorded or artificial voice, at the phone number you provided. You may opt out of text messages at any time by replying “STOP” to any text message you receive from us, or by contacting us directly; if you do, you will no longer receive order updates by text. You may opt out of marketing emails at any time by using the unsubscribe link included in each email, or by contacting us. We will process opt-out requests within a reasonable time and, in any event, consistent with the timeframes required under applicable law. Opting out of marketing communications does not affect transactional or account-related messages, such as order confirmations, shipping updates, or communications necessary to service your orders and account.
- Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CUSTOM LOGOS DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SITE IS AT YOUR SOLE RISK.
- Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CUSTOM LOGOS, ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR OUR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO CUSTOM LOGOS IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you. In such jurisdictions, the liability of Custom Logos is limited to the greatest extent permitted by law.
- Indemnification
You agree to indemnify, defend, and hold harmless Custom Logos and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Site or our services; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any claim that materials you submitted to us infringed, misappropriated, or violated any third party’s intellectual property rights, right of publicity or right of privacy, or otherwise caused damage to a third party.
- MANDATORY ARBITRATION AND CLASS ACTION WAIVER
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT, TO HAVE A JURY TRIAL, AND TO PARTICIPATE IN A CLASS ACTION.
11.1 Agreement to Arbitrate
You and Custom Logos agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or our products and services (including disputes about the interpretation, formation, applicability, enforceability, or scope of this arbitration agreement, collectively, the “Dispute”) shall be resolved exclusively through final and binding arbitration, rather than in court, except as provided below. This agreement to arbitrate is intended to be broadly interpreted.
11.2 Arbitration Procedures
Arbitration shall be conducted by JAMS (Judicial Arbitration and Mediation Services) pursuant to its Comprehensive Arbitration Rules and Procedures (available at www.jamsadr.com) or, for claims not exceeding $250,000, its Streamlined Arbitration Rules. The arbitration shall be conducted in San Diego, California, or, if you prefer and the claim qualifies, by telephone, video conference, or written submissions. The arbitrator shall have authority to award any remedy available in court, but may not award relief that would not be available to you individually, and may not consolidate more than one person’s claims, or otherwise preside over any form of a representative or class proceeding.
11.3 CLASS ACTION WAIVER
YOU AND CUSTOM LOGOS EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. THIS WAIVER DOES NOT PRECLUDE YOU FROM SEEKING PUBLIC INJUNCTIVE RELIEF IN COURT WHERE SUCH A WAIVER IS UNENFORCEABLE UNDER APPLICABLE LAW; ANY SUCH CLAIM SHALL BE STAYED PENDING THE OUTCOME OF ANY INDIVIDUAL ARBITRATION UNDER THIS SECTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU AND CUSTOM LOGOS EACH WAIVE ANY RIGHT TO A JURY TRIAL.
11.4 Exceptions to Arbitration
Notwithstanding the above, either party may bring an individual action in small claims court. Either party may also seek emergency injunctive relief in a court of competent jurisdiction to the extent permitted by applicable law, without waiving the right to arbitration for any other claims.
11.5 Opt-Out Right
You have the right to opt out of this arbitration agreement (including the Class Action Waiver) by sending written notice to Custom Logos at info@customlogos.com within 30 days of first agreeing to these Terms. Your opt-out notice must include your name, address, the email address or account used when accepting these Terms, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, neither party will be bound by the arbitration provision or the Class Action Waiver, but all other Terms will continue to apply.
11.6 Severability
If any portion of this Section 11 is found to be unenforceable, only that portion shall be severed, and the remainder of this Section shall continue in full force and effect, except that if the class action waiver is found unenforceable, the entire arbitration provision shall be void. If the Class Action Waiver is found unenforceable as to a particular claim, that claim (and only that claim) may proceed in court on a class, consolidated, or representative basis, while any remaining individual claims not subject to that finding shall proceed in arbitration under this Section 11. This Section 11 shall survive termination of these Terms.
- Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Subject to the arbitration agreement above, you consent to the exclusive jurisdiction and venue of the state and federal courts located in San Diego County, California for any disputes not subject to arbitration.
- Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the revised Terms on the Site with an updated effective date. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms.
- Termination
We reserve the right to terminate or suspend your access to the Site at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or for any other reason.
The provisions in these Terms related to our Intellectual Property, Posts, acceptable use of our Site, disclaimer of warranties, limitation and liability, indemnity and dispute resolutions and class action waiver, and together with any other rights and obligations which by their nature are reasonably intended to survive such termination, will survive any termination of these Terms.
